Terms & Conditions

1. Agreement and Scope 

1.1 Agreement. These Website Terms of Service (the “Terms”) are a binding agreement between you and ABA Town Square, Inc. (“ABA Town Square,” “we,” “us,” or “our”). They govern access to and use of abatownsquare.com and the Career Center, Community Hub, Learning Hall, Resource Commons, ABA Directory, Partner Pavilion, forms, accounts, events, and other general website features we make available (collectively, the “Website Services”). 

1.2 Acceptance. By accessing or using the Website Services, creating an account, submitting content, or purchasing or registering for an offering, you agree to these Terms and acknowledge the Website Privacy Policy. If you do not agree, do not use the Website Services. 

1.3 Separate Agreements and Priority. An ABA Town Square Affiliate Services Agreement, Order Form, Business Associate Agreement (“BAA”), Platform Provider terms, course terms, event terms, or other written agreement may apply to a specific offering (each, a “Specific Agreement”). A BAA controls regarding Protected Health Information (“PHI”); an Order Form controls package selection, pricing, Authorized User count, service start date, billing, cancellation notice, and rate adjustments; the Affiliate Services Agreement controls contracted ABA Town Square services; applicable Platform Provider terms control use of a Third-Party Platform; and these Terms control general Website Services. A Specific Agreement controls over these Terms to the extent of a conflict within its subject matter. 

2. Eligibility and Organizational Authority 

2.1 Age and Capacity. You must be at least eighteen (18) years old and legally able to enter into these Terms. 

2.2 Organizations. If you use the Website Services for an employer, practice, school, or other organization, you represent that you have authority to act for that organization, and “you” includes that organization for the relevant use. 

2.3 ABA Town Square Affiliate Status. “ABA Town Square Affiliate” is a program designation only. It does not create a franchise, legal affiliate relationship, partnership, joint venture, fiduciary relationship, employment relationship, or agency, and it does not authorize either party to bind the other. 

3. Accounts and Credentials 

3.1 Accurate Information. You must provide accurate, current information and keep it updated. Professional titles, licenses, certifications, affiliations, and work history must not be false or misleading. We may request verification but do not undertake to verify every member, employer, credential, listing, or claim. 

3.2 Account Security. You are responsible for protecting credentials and for activity under your account. Accounts are personal unless an organizational arrangement expressly permits shared administration. You may not share personal login credentials or impersonate another person. Notify us promptly at the support address in Section 21 if you suspect unauthorized access. 

4. Professional Information; No Professional Relationship 

ABA Town Square provides professional information, education, community features, career resources, and access to third-party products and services. Website content is for general educational and informational purposes and is not clinical, medical, legal, tax, accounting, financial, credentialing, reimbursement, employment, or individualized compliance advice. You remain responsible for professional judgment, supervision, client care, legal compliance, and career or practice decisions. Use of the Website Services does not create a clinician-client, attorney-client, consultant-client, fiduciary, employment, franchise, or other professional relationship unless a Specific Agreement expressly provides otherwise. 

5. Community Hub and Member Conduct 

The Community Hub and other interactive features are intended for respectful, professional exchange. You may not post, upload, transmit, or promote content that: 

  • is unlawful, threatening, harassing, defamatory, discriminatory, deceptive, obscene, exploitative, or invasive of another person’s privacy; 
  • contains patient or client identifiers, PHI, confidential clinical or employer information, trade secrets, or material you are not authorized to disclose; 
  • infringes intellectual-property, publicity, privacy, contractual, or other rights; 
  • constitutes spam, undisclosed advertising, unauthorized recruiting or solicitation, malware, scraping, credential harvesting, or interference with the Website Services; or 
  • misrepresents identity, credentials, employment, affiliations, results, products, services, continuing-education eligibility, or job opportunities. 

5.1 Moderation. We may review, moderate, edit, restrict, or remove content and suspend access when we reasonably believe these Terms or applicable law have been violated. We do not undertake to monitor every submission and do not endorse member content. 

6. User Content 

6.1 Ownership and License. You retain ownership of content you submit (“User Content”). You grant ABA Town Square a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, transmit, and otherwise use User Content only as reasonably necessary to operate, promote, improve, and secure the Website Services and fulfill the function for which you submitted it. The license continues while content is hosted and for reasonable backup, legal, and archival periods after removal. 

6.2 Your Responsibility. You represent that you own or have the permissions needed for User Content and that its permitted use will not violate law or another person’s rights. You are responsible for retaining copies of important content. We may use feedback without restriction or compensation, provided we do not publicly identify you without permission. 

7. Patient Information, PHI, and Approved Services 

7.1 General Website Prohibition. Do not upload or disclose patient or client names, records, PHI, confidential case material, or identifying information about a child through general Website Services, including profiles, community posts, forms, resumes, or ordinary learning activities. Changing a name alone may not sufficiently de-identify information. 

7.2 Separately Contracted Services. This prohibition does not prevent an ABA Town Square Affiliate from using PHI within a specifically approved service configuration after all required BAAs and Platform Provider agreements are effective. PHI submitted through an approved configuration is governed by the applicable BAA and Specific Agreements, not by any general website feature that is not designated for PHI. 

8. Career Center 

8.1 Candidates and Members. Job listings, employer descriptions, compensation information, and recruiting communications are supplied by employers or other third parties. We do not guarantee a listing, employer, recruiter, candidate, opening, compensation statement, credential, or outcome. Applications may occur through a third-party system governed by that party’s terms and privacy practices. 

8.2 Employers and Recruiters. Employers and recruiters may post only genuine, current opportunities they are authorized to fill. Listings and recruiting activity must comply with employment, advertising, privacy, wage-transparency, accessibility, and nondiscrimination laws. Candidate information may be used only for the employment purpose for which it was provided and must be secured, retained, and deleted as required by law. 

8.3 No Agency. ABA Town Square is not an employer, recruiter, staffing agency, or agent for a user unless a Specific Agreement expressly provides otherwise. We do not control hiring decisions or guarantee interviews, applicants, placements, employment, or performance. 

9. Learning, Mind the Academic Gap, CEUs, and Certificates 

9.1 MTAG Course. Mind the Academic Gap (“MTAG”) is a thirty-two (32) continuing-education-unit course tailored for clinicians who want to lead teams or practices. It addresses practical leadership, management, and practice-operation topics not typically covered in clinical education. 

9.2 Course Requirements. Course descriptions, instructors, learning hours, eligibility, certificate requirements, availability, and pricing are stated in the applicable offer, Order Form, or learning platform. Access, completion, and continuing-education credit may require attendance, assessments, evaluations, identity verification, payment, and other stated requirements. You are responsible for confirming that an offering satisfies the requirements of your credential, licensing body, employer, or jurisdiction. 

9.3 Certificates. A certificate documents completion only as described for the applicable offering. It is not a professional license, does not authorize a scope of practice, and does not guarantee credential renewal or acceptance by a board or organization. We may correct administrative errors and withhold or revoke a certificate when stated requirements were not met, subject to applicable law and course terms. 

10. Paid Offerings and Subscriptions 

10.1 Purchase Terms. Prices, included features, eligibility, billing frequency, taxes, renewal terms, cancellation rights, refund terms, and required consents will be disclosed at purchase or in a Specific Agreement. An inquiry or information-request form does not create a purchase, software license, or service engagement unless it expressly says so. 

10.2 Affiliate Platform Packages. An Affiliate platform package requires an executed Affiliate Services Agreement and Order Form. Unless the applicable Order Form states otherwise, the subscription continues month-to-month; either party may cancel on at least sixty (60) days’ written notice; and rates may increase no more than once in any twelve-month period upon at least sixty (60) days’ notice, capped at the applicable annual increase in the Consumer Price Index described in the Order Form. The executed Order Form controls these commercial terms. 

10.3 Other Offerings. Courses, consulting, credentialing, revenue-cycle management, events, featured listings, and other paid offerings may have separate terms. Website prices may change prospectively, but a website update does not modify pricing or rights fixed by an active Specific Agreement. 

11. Third-Party Platforms and Services 

11.1 Independent Providers. Website Services and paid offerings may link to or integrate with Platform Providers, learning systems, employers, payment processors, communications providers, social networks, and other third parties. Those parties independently control guarantee, or otherwise warranty performance of” their products and may impose their own terms and privacy practices. A link, listing, integration, or coordinated enrollment does not make ABA Town Square the owner or operator of a Third-Party Platform. 

11.2 No Third-Party Guarantee. We do not control guarantee, or otherwise warranty performance of” third-party availability, content, security operations, product changes, support decisions, outcomes, or performance. Rights to a Third-Party Platform exist only as confirmed in the applicable Specific Agreement and Platform Provider terms. 

12. ABA Town Square Content and Intellectual Property 

12.1 Ownership. The Website Services and their design, branding, software, selection and arrangement, and content supplied by ABA Town Square or its licensors are protected by intellectual-property laws. ABA Town Square, Inc. owns or licenses the ABA Town Square name and related marks; third-party names and marks belong to their respective owners. 

12.2 Limited Use. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Website Services for their intended professional purpose. You may not copy, sell, sublicense, republish, scrape, reverse engineer, remove notices from, create unauthorized derivative works of, or commercially exploit protected content except with written permission or as allowed by law. 

13. Acceptable Use and Platform Integrity 

You may not use the Website Services to violate law; interfere with security or operation; bypass access controls; probe vulnerabilities; introduce harmful code; use bots or automated extraction without written permission; collect member data for unsolicited marketing; create false accounts; manipulate engagement; resell access; or assist another person in doing so. We may impose reasonable technical limits to protect the Website Services and users. 

14. Suspension, Account Closure, and Contracted Services 

14.1 Website Accounts. You may stop using general Website Services at any time and may request account closure using the contact information in Section 21. We may suspend or terminate website access, remove content, or restrict features when reasonably necessary to protect users or systems, investigate misuse, comply with law, address nonpayment, or enforce these Terms. Where practicable, we will provide notice. 

14.2 Separate Services. Closing a general website account does not by itself cancel an Order Form or other Specific Agreement. Contracted services must be cancelled or terminated under the applicable Specific Agreement, including any sixty-day notice requirement. Provisions intended by their nature to survive continue after termination. 

15. Disclaimers 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ABA TOWN SQUARE AND ITS LICENSORS AND SERVICE PROVIDERS DISCLAIM IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS. WE DO NOT WARRANT THAT WEBSITE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT, JOBS, CANDIDATES, COURSES, CEUS, CERTIFICATES, REFERRALS, OR THIRD-PARTY SERVICES WILL MEET YOUR NEEDS. EXPRESS WARRANTIES IN A SPECIFIC AGREEMENT ARE NOT DISCLAIMED BY THIS SECTION. 

16. Limitation of Liability 

16.1 Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABA TOWN SQUARE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE UNDER THESE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS OR REVENUE, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR DAMAGES ARISING FROM THIRD-PARTY CONDUCT, EVEN IF ADVISED OF THE POSSIBILITY. 

16.2 Website-Terms Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGGREGATE LIABILITY ARISING FROM THESE TERMS OR GENERAL WEBSITE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO ABA TOWN SQUARE FOR THE WEBSITE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT OR (B) US $100. LIABILITY ARISING UNDER A SPECIFIC AGREEMENT IS GOVERNED BY THAT AGREEMENT’S LIABILITY TERMS. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED. 

17. Indemnification 

To the extent permitted by law, you will defend and indemnify ABA Town Square and its officers, directors, and personnel from third-party claims to the extent arising from your unlawful conduct, User Content, misuse of Website Services, infringement of another person’s rights, or material breach of these Terms. Indemnification arising under a Specific Agreement is governed by that agreement. 

18. Governing Law and Venue 

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Subject to rights that cannot legally be waived, exclusive venue lies in the state courts located in Fauquier County, Virginia, or the federal court having jurisdiction over Fauquier County, Virginia, and each party consents to jurisdiction there. Before filing a claim, the parties will attempt in good faith to resolve it through written notice using the contact information in Section 21. 

19. Changes to the Website Services or These Terms 

We may modify Website Services and update these Terms prospectively. We will post the revised Terms and update the effective date. If a change is material, we will provide additional notice or obtain consent when required by law. A change to these Terms does not amend an active Specific Agreement unless that agreement expressly permits the change. 

20. General Provisions 

These Terms and applicable Specific Agreements are the entire agreement concerning their respective subject matter. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, sale of substantially all assets, or change of control. Headings are for convenience only. Electronic communications and records may satisfy legal writing requirements where permitted.
